The Samdef Board ensures that a robust governance structure is in place and adheres to high standards of governance and integrity. The Botswana Companies Act, 2003, the company's memos and articles and available governance guidelines like the King's Report guide Samdef's endeavour for good corporate governance practices. Samdef has a clear corporate governance framework and continues to refine its practices in this area.
The Samdef Board attracts members from diversified backgrounds mainly on business, legal and media in order to have a good balance of skills and experience. Board members are appointed from the different countries within the SADC region. The independent Board which sits at least four times a year reports to MISA Trust Fund Board.
The Board has three sub-committees being the Investment Committee, Human Resources and Remuneration Committee and the Audit Committee. The sub-committees including the Board meet on a regular basis during each financial year to deal with the respective governance matters.

Risk Management forms part of the focal point of the Fund. Samdef started the full implementation of the risk management systems at the beginning of 2008. The Board and Board committee charters were also introduced during the course of the year as way of improving the Fund corporate governance. In addition, the Fund has also come-up with a risk register, as a tool that will be used by the Board and Management to monitor and control the most important risks that are facing the Fund.
Performance evaluation of Board members will form part of the tools to strengthen corporate within Samdef.
